CORPORATE TRANSACTIONAL ASSOCIATE

Halloran Sage is offering an opportunity for a Corporate Transactional Associate to become an essential member of a high functioning, responsive team that takes pride in working together to provide clients with their best path forward. We seek someone who is admitted to practice law in Connecticut and has 2 to 5 years of experience in as many of the following areas as possible:

• mergers & acquisitions,
• business formation and capitalization,
• corporate governance,
• stockholder agreements and LLC operating agreements,
• corporate restructuring,
• executive compensation,
• securities law compliance for private placements and compensatory equity issuances,
• secured transactions,
• joint ventures,
• negotiated stockholder exits, and
• general knowledge of applicable tax and accounting concepts.
